Acceptance of These Terms

These Terms of Use (“Terms”) govern your access to and use of https://www.softfocus.world and related pages and forms operated by Soft Focus LLC (“Soft Focus,” “we,” “us,” or “our”) (collectively, the “Site”).
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you are under 18, use the Site only with the involvement of a parent or legal guardian and do not submit a form unless you are authorized to do so.
About the Site

The Site presents information about Soft Focus, its cultural experiences, collaborations, and patron relationships, and provides ways to express interest or contact us.
Site content is provided for general informational and promotional purposes. We may change, pause, or discontinue any part of the Site or any described initiative at any time.
No Offer, Selection, or Commitment

Submitting an invitation request, partnership inquiry, collaborator submission, patron inquiry, or other form does not create a contract, partnership, agency relationship, employment relationship, fiduciary relationship, sponsorship, investment, donation, or obligation to select, respond to, compensate, host, engage, or enter into an agreement with you.
Any commitment by Soft Focus must be set out in a separate written agreement signed by an authorized representative of Soft Focus.
Patronage and Support

Soft Focus LLC is a for-profit company. References to patrons, patronage, support, sponsorship, or contributions are invitations to discuss potential support and are not charitable solicitations, investment offerings, securities offerings, or binding pledges.
Unless a separate written agreement expressly states otherwise, payments or support provided to Soft Focus are not tax-deductible charitable contributions and do not provide equity, ownership, voting, governance, repayment, or profit-sharing rights.
Consult your own tax and legal advisers regarding any payment or arrangement.

You retain ownership of materials you submit. You grant Soft Focus a non-exclusive, worldwide, royalty-free license to host, copy, review, and share those materials internally and with service providers or advisers solely as reasonably necessary to evaluate, respond to, and administer your submission.
This license does not authorize public publication or promotional use of your submission; any such use requires separate permission or another applicable agreement.
Submissions are not confidential. Do not submit trade secrets, unpublished concepts that require confidentiality, sensitive personal information, or material you are not authorized to share. If confidentiality is needed, contact us before sending the information and obtain a separate written confidentiality agreement.
You represent that your submission is accurate to the best of your knowledge, that you have the necessary rights and permissions to submit it, and that our permitted handling of it will not violate another person’s rights or any law.
Third-Party Services and Links

The Site and its text, design, graphics, photographs, video, audio, logos, names, and other content are owned by or licensed to Soft Focus and are protected by intellectual-property and other laws.
Subject to these Terms, Soft Focus grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for your personal or internal business evaluation.
You may not reproduce, distribute, publicly display, modify, sell, exploit, scrape, or create derivative works from Site content without prior written permission, except as allowed by law.
“Soft Focus” and associated names, marks, and branding may not be used in a way that suggests sponsorship, endorsement, or affiliation without our prior written consent.
The Site may link to or use services operated by third parties, including Squarespace, Tally, social platforms, maps, media, ticketing, and payment services.
We do not control and are not responsible for third-party services, content, security, availability, terms, or privacy practices. Your use of those services is governed by their terms and policies.

You agree not to:
Use the Site for unlawful, fraudulent, abusive, harassing, or misleading activity.
Submit malicious code, spam, sensitive personal data that was not requested, or content that infringes another person’s rights.
Interfere with Site security, availability, or operation, or attempt unauthorized access.
Impersonate another person or misrepresent your identity, affiliation, authority, or intent.
Use automated means to scrape, harvest, or extract Site content or personal information except as permitted by law.
Use Site content or submissions to train, develop, or improve an artificial-intelligence model without our written permission.
These Terms do not by themselves govern admission to an event, ticket purchases, refunds, cancellations, venue rules, alcohol service, personal releases, sponsorship benefits, or photography and recording permissions.
Additional terms, notices, waivers, releases, or refund policies may apply and will control if they conflict with these Terms. Purchase or attendance may require separate affirmative agreement.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
SOFT FOCUS DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DESCRIBED EXPERIENCE, COLLABORATION, OPPORTUNITY, OR BENEFIT WILL OCCUR OR BE AVAILABLE.
TO THE FULLEST EXTENT PERMITTED BY LAW, SOFT FOCUS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF SOFT FOCUS FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID DIRECTLY TO SOFT FOCUS FOR USE OF THE SITE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Soft Focus and its owners, officers, employees, contractors, agents, and affiliates from claims, liabilities, damages, judgments, losses, and reasonable costs, including attorneys’ fees, arising out of or related to your unlawful or prohibited use of the Site, your submission, your violation of these Terms, or your infringement of another person’s rights.
Soft Focus may control the defense of a matter subject to indemnification, and you agree to cooperate reasonably.
Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Unless applicable law requires otherwise, any dispute arising from the Site or these Terms must be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to their personal jurisdiction and venue.
Suspension and Termination

We may restrict or terminate access to the Site, remove a submission, or take other reasonable action if we believe you violated these Terms, created risk, or used the Site unlawfully.
Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, liability limits, indemnification, and dispute provisions.
Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and revise the effective date.
Changes apply prospectively when posted unless a later date is stated. Your continued use of the Site after the effective date of updated Terms constitutes acceptance of the updated Terms.
Miscellaneous

These Terms and any additional terms expressly incorporated into them are the entire agreement between you and Soft Focus concerning the Site.
If a provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver.
You may not assign these Terms without our prior written consent; Soft Focus may assign them in connection with a reorganization, financing, merger, sale, or transfer of the Site or business.
